Invention Disclosure Form

This form is used to report an invention to the
university.  For more detailed instructions, go
to the Reporting an Invention page.


Unilateral Non-Disclosure Agreement

When a faculty member would like to disclose confidential
information to a company or other entity outside of the
university, a Non-Disclosure Agreement (also known as
a Confidentiality Agreement, NDA, or CDA) may be used
to ensure that the recipient of the information will keep the
disclosed information confidential and use it only for the
purpose of evaluation.


Bilateral Non-Disclosure Agreement

In certain situations, a faculty member and the company may
be disclosing confidential information to each other.  Instead
of using two unilateral non-disclosure agreements, one agreement,
i.e., a bilateral (or 'two-way' NDA) can be used to protect both parties.


Universal Biological Material Transfer Agreement

When investigators receive requests for biological materials, they
may want to consider using a material transfer agreement.  Material
Transfer Agreements (or MTAs) are used to ensure that materials sent
to an investigator at another company or institution will be used
only for research purposes and will not be used for commercial
purposes with out the provider's approval.

Faculty may be asked to sign MTAs when requesting materials from
investigators at other institutions.  Any such MTAs should be sent to
OTD for review, approval, and a signature by UMBC's authorized
representative.  Only individuals who have specifically be granted
authority by an officer of the institution may sign these agreements
on behalf of the university.

 

The Agreements named above are Adobe PDF forms.
The forms may be completed by faculty by entering the
necessary information in the fields provided and
printing the forms.  The printed form should be sent to
the intended recipient of the confidential information
or biological materials for an authorized signature
on behalf of the recipient institution/company.  Once the
agreement has been signed by the recipient
institution/company, it should be returned to OTD
(2nd Floor, Administration Building) for a signature
by UMBC's authorized official.  A fully executed copy
of the agreement will be sent to the recipient
institution/company with a copy to the UMBC investigator.
